CORPORATE GOVERNANCE STRUCTURE
ROLES AND RESPONSIBILITIES
The Board is committed to providing
an environment and opportunities that
encourage and reinforce the corporate culture
of the Group. It is committed to extending
the values that it promotes to include all
stakeholder groups. The Board recognises
the importance of, and is committed to,
ensuring that e昀昀ective corporate governance
procedures are in place and that they are
appropriate for a private company of the size
and complexity of Access.
The Chief Executive O昀케cer leads and chairs
the Board, with overall responsibility for
governance, promoting the Group’s values
both internally and externally, and managing
day-to-day operations.
As part of our commitment to high standards
of governance, the Board recognises the
importance of having Non-executive Directors
who are independent in character and
judgement, and free from relationships
which may a昀昀ect, or could appear to a昀昀ect,
their judgement. The Access Board consists
of the Chief Executive O昀케cer, the Chief
Financial O昀케cer, the Chief Sales O昀케cer, the
Chief Commercial O昀케cer, two Non-executive
Directors, two representatives from Hg Capital,
and two representatives from TA Associates.
The Board believes that, as a collective, the
Directors have the necessary blend of sector,
昀椀nancial and market skills and experience,
along with an e昀昀ective balance of personal
qualities and capabilities. Access is committed
to promoting diversity of thought, background,
and experience within our governance
structures to strengthen decision-making
e昀昀ectiveness. Directors keep their skillset up
to date in a variety of ways, and their skills and
expertise are reviewed on an annual basis.
Key responsibilities include developing and
implementing corporate strategy, leading
the Access Management Team, driving
performance standards, overseeing key risks
across all Group companies, supporting
investor relations, and evaluating merger
and acquisition opportunities that align with
strategic objectives.
A key part of the Board’s commitment to high
standards of governance is an active dialogue
with its investors who are also invited to
attend Board meetings.
The Chief Financial O昀케cer is responsible
for shaping and executing the 昀椀nancial
strategy of the Group. In this role the Chief
Financial O昀케cer also supports the Group’s
investor relations programme and corporate
development e昀昀orts.
The Chief Financial O昀케cer has responsibility
for identifying the broad market-related risks
and collating speci昀椀c potential risks from the
members of the Access Management Team
for further assessment via the established risk
management framework.
The Non-executive Directors act as a sounding
board for the Chief Executive O昀케cer and
a trusted intermediary for other Board
members, leads the Chief Executive O昀케cer’s
performance review, and acts as an additional
point of contact for investors.
